Memo

We are 'testing the waters' to gauge investor interest in an offering under Regulation Crowdfunding. No money or other consideration is being solicited. If sent, it will not be accepted. No offer to buy securities will be accepted. No part of the purchase price will be received until a Form C is filed and only through Wefunder’s platform. Any indication of interest involves no obligation or commitment of any kind.

The Problem

The New Society For Wellness (NSFW) brand didn’t start as a business idea. It started as a response to a problem our CEO Daniel Saynt kept seeing over and over again. People were curious about sex, intimacy, kink, and relationships—but had nowhere safe, intelligent, or adult to explore those questions. For many the only options were either secrecy, shame, or creepy non-consensual situations.

Dating apps reduced connection to swiping left or right. Nightlife mainly revolved around alcohol and became less authentic with smart phones killing the vibes. And education around sex stopped way too early. There was no middle ground for adults who wanted curiosity or play with responsibility.

Enter the NSFW brand. Small, intentional gatherings mixing deep conversations, workshops, and community-curated experiences. No pressure. No performance. Just real connections. What's surprising was not how sexual people were but how thoughtful they were once given the space and the language to seek intimacy.

The NSFW brand is built for adults who are curious, intentional, and self-aware. People who want connection, not consumption. People who care about consent, communication, and building community.

We are not a sex club. We are not a swingers brand. We are not porn-adjacent.

And we are definitely not a place to hide bad behavior behind ‘sex positivity.'

We Are A Vetted Safe and Judgement-Free Space. No Creepers Allowed.

Growth and Traction

The NSFW community grew because people talked. They invited friends. They brought partners. Media outlets loved the concept winning the brand features in over 100 news outlets and documentaries. Not because of ads. Not because of influencers. Because the NSFW filled a gap people didn’t know how to name.

Over time, the NSFW stopped being ‘an event’ and started becoming a place people belonged. That’s when our CEO knew this wasn’t just a project. It was the infrastructure for a new way to meet new lovers and friends.

Membership

Our members are looking for freedom from the everyday. A familiar space to meet new partners, bring a first date, and connect through live experiences. Tired of dating apps, bars and restrictive relationships, they look for a place that feels like a home away from home. They desire a place where they can walk the floors naked without fear and discover others who share their ideas on love, sex, and relationships.

Most of The NSFW’s members have never been to a sex positive space or event. Its non-judgmental space attracts a mix of sexual identities and orientations. People are single, partnered, married, queer, straight—it’s not about identity. It’s about how you show up.

Members of our NYC Clubhouse currently include influential personalities, artists, creatives, and those looking for a place to explore without judgement. Clubhouse membership is 60% female, with most members ranging in age from 25 – 35. Events range in size from 40-100 guests and include sex education workshops, expert panel discussions and interviews, play parties, costumed events, intimate dinners, and events curated to the interests of our membership. Our workshops also cover a full range of topics from consent, open relationship advice, sex hacks, BDSM, tantra and massage, and are designed to educate and excite.

Through adventures designed to teach, titillate, and bring new partners and friends together, the NSFW brand has become New York City's solution for those looking to safely explore sex well beyond vanilla.

Dozens of tried and tested events and workshops for the casually curious to the lifestyle enthusiast.

Sex-positive spaces fail when they optimize for access instead of culture. We optimize for culture first. One that is built on safety, transparency and a commitment to consent. That’s why people trust us and have been coming back for years.

When people feel safe, they open up to play. When they open up, they learn and grow. And when they grow, they build stronger communication skills, find love, reduce loneliness and feel free to fulfill their fantasies.

Play & Kink Go Mainstream

Play is becoming more popular—not because people are more sexual, but because they’re more disconnected. We’re living through what has been described as a loneliness epidemic. Dating apps haven’t made dating easier. Social media hasn’t made people more social. And most adults don’t have real third spaces to connect anymore. It's work, home, repeat.

The biggest shift we’re seeing isn’t people wanting to explore kink—it’s people wanting education in kink. For a long time, kink culture was underground. You either found it through word of mouth, pornography or learned by making mistakes. Classes are now on the rise to make kink available to all who are interested in safe environments.

“When we talk about ‘play,’ we’re not just talking about sex. We’re talking about structured environments where people can explore trust, boundaries, curiosity, and connection. Play is relational.

The Problem With Unstructured Play

What we’re seeing now is demand without guidance. People are experimenting but without education, norms, or accountability. That’s where things break and create danger.

The NSFW doesn’t create the desire for play. We create infrastructure for it. Spaces and best practices to ensure curiosity doesn’t turn into harm and exploration doesn’t turn into chaos.

Anytime a behavior moves from underground to mainstream, infrastructure follows.

That’s what this moment is.

Consent as a Skill

Consent isn’t just a set of rules. It’s a learned and teachable skill. Communication, negotiation, boundaries, aftercare—these are things people want to understand.

This is why the NSFW focuses heavily on education. It reduces harm, builds trust, and creates better experiences for everyone. It also creates long-term engagement—not one-off attendance.

When people learn together, they bond. And when they bond, they stay. That’s how community forms and grows. From one location in New York City to Clubhouses and Conspirators developing the NSFW brand across the globe.

Education creates culture. Culture creates standards. And standards are what allow this to grow responsibly.

The NSFW Clubhouse

The NSFW Clubhouse is a home base for education, connection, and culture. “It’s where workshops happen. Where conversations deepen. Where community becomes tangible. And where play is put into practice. Algorithmic connections don’t create trust. Dating apps make us jaded and don’t create accountability. Physical space does.

This isn’t about loud music and late nights (though we do know how to party). It’s about repeat attendance. Familiar faces. Long-term relationships. That’s how culture survives and scales.

When members have a space, they invest emotionally. They bring friends. They host responsibly. They protect the culture. That’s not something you can scale digitally alone.

The Bigger Vision

The Clubhouse is the anchor. PlayDates are the expression. And education is the backbone. The NSFW doesn’t grow by throwing more parties in one city. We grow by building anchors—physical spaces that hold culture, education, and community.

This raise will support the development of five NSFW Clubhouses with locations in NYC, Miami and three additional cities. Each one serves as a flagship for its region—programming, workshops, events, and community leadership. We’re not trying to be everywhere. We’re trying to be excellent where we are. Strong culture beats rapid expansion every time.

Revenue from Clubhouses come from recurring programming, brand partnerships, weekend parties, weekday education, private rentals by members and daytime usage for content production (film, podcast). That diversification matters as it ensures profitability and revenue to continue building the brand.

Community rituals live at the NSFW Clubhouse. Standards live here. This is where values get reinforced—not diluted— in stylish spaces for exploration.

The Conspirator Model

Scaling culture is hard unless you train people to carry it. Most brands either centralize everything and burn out—or decentralize and lose control. We’re doing neither.

Conspirators are trained hosts who operate NSFW events in secondary cities and recruit new members. They’re stewards of the culture. We don’t just give people a logo and a playbook. We train them in consent, facilitation, boundaries, and community leadership. We provide guidance in development and early funding to maintain the NSFW culture and brand. A system for those looking to develop playful and kink-friendly events and workshops.

Why This Scales

One centralized brand. Shared standards. Distributed execution. That allows growth without massive investments and lower risk to enter dozens of new markets across the US and globally. This model lets us expand reach without immediately opening dozens of physical spaces.

Lower overhead. Higher trust.

Why We’re Raising Now

Interest in intimacy, kink, and alternative relationship structures is already here. What’s missing is leadership and the infrastructure that The NSFW can provide.

This isn’t about chasing momentum. It’s about meeting it responsibly with enough capital to capture the market with one of the most recognized brands in play. Waiting means letting demand outpace guidance. And when that happens, people get hurt and communities fracture. This round allows us to build deliberately—spaces, systems, and training. It’s about doing this right and scaling mindfully.

If adults are going to explore intimacy differently, they deserve places that take that responsibility seriously. That’s what we’re building. Taking desire out of the shadows and giving the mainstream a place where sex is celebrated and intimacy is honored.

Financials and Valuation

In December 2025 we signed an agreement to obtain specific NSFW brand assets and other assets from founder Daniel Saynt, who will continue with us as CEO. As we did not take all brand assets, we are legally not permitted to publish past results.

Here's what we can say. The NSFW brand has operated since 2015 and has grown to 10,000+ global members while spending 0 USD on paid advertising. Additionally, during the COVID-19 pandemic, the brand managed a pivot to online events and classes to survive this economically-challenging period. While many companies filed for bankruptcy, the NSFW brand reemerged from COVID stronger than ever.

Fast forward to today. We are hosting events in Manhattan and Brooklyn and have recently launched a members-only app. By the end of 2027 we anticipate expanding to cities including Miami and three additional cities. This is in addition to pop-up events we host in smaller cities around the world through our Conspirator partners.

Utilizing the expertise of our CEO and his past experience running the NSFW brand, we forecast the following financial results:

(Forward looking statements, actual results may vary)

Based on our brand recognition, proven business model, experienced leadership team, rapid expansion potential, and a competitor's successful crowdfunding round at ~6.5x forward revenue, we are raising at a 12.5M USD valuation (~4.95x forward revenue). Why not raise at a higher valuation? Well we could... but we'd like to get this funding round finished quickly so we can focus on growing NSFW and opening new locations.

Closing Remarks

We love what we do and invite you to join us on our quest to improve the sex lives and happiness of people around the world. As our CEO likes to say...

"If we build it... they will come"

No. All you do is invest.

When will my investment leave my account?

If you fund your Wefunder Cash account, your funds will move from your account immediately, similar to online shopping. You can also choose to wait to fund your reservation until after we've filed with the SEC. Once we've filed with the SEC you'll be able to pay via bank account, wire transfer, credit card, or check.

Wefunder will email you to confirm your commitment once we file our Form C with the SEC (Securities and Exchange Commission) and close the campaign.
